Asset Reconstruction IPO details

The IPO consists entirely of an offer-for-sale (OFS) of 5.27 crore equity shares, with no fresh issue of shares.

Avenue India Resurgence, backed by New York-based global investment firm Avenue Capital Group, and State Bank of India are among the key selling shareholders. Investors Lathe Investment and Federal Bank will also offload shares through the OFS.

Since the public issue has no fresh issue component, Arcil will not receive any proceeds from the IPO. The entire amount raised through the offer will accrue to the selling shareholders.

Avenue India Resurgence is the largest shareholder in Arcil with a 69.73% stake, followed by State Bank of India with 19.95%. Among other shareholders, Singapore sovereign wealth fund GIC-backed Lathe Investment holds a 5% stake, while Karnataka Bank owns 2.64%. South Indian Bank and Federal Bank each hold a 1.27% stake in the company.

The size of the OFS has been reduced by half from the 10.54 crore shares proposed in Arcil’s draft red herring prospectus (DRHP) filed in August 2025. The company subsequently received approval from the Securities and Exchange Board of India (SEBI) in October 2025.

IIFL Capital Services, IDBI Capital Markets & Securities, and JM Financial are acting as the merchant bankers for the IPO, while MUFG Intime India Pvt. Ltd. has been appointed as the registrar to the issue.
