Gemini Edibles & Fats India (GEF), a Hyderabad-based company, has submitted its draft papers to the Securities and Exchange Board of India (Sebi) to raise capital through an initial public offering (IPO).
According to the draft red herring prospectus (DRHP) filed on August 21, the proposed IPO will comprise a complete offer-for-sale (OFS) of up to 4.11 crore equity shares by the company’s promoters and existing investors.
As part of the OFS, promoters Alka Chowdhry and Golden Agri International Enterprises Pte Ltd, along with investors Black River Food 2 Pte Ltd and Investment and Commercial Enterprise Pte Ltd, will sell a portion of their shareholding.
Since the public issue does not include a fresh issue of shares, GEF will not receive any proceeds from the IPO. The entire proceeds from the share sale will go to the respective selling shareholders.
The company plans to list its equity shares on the BSE and NSE.
Motilal Oswal Investment Advisors and IIFL Capital Services appointed as the book-running lead managers for the issue.

Meanwhile, Investment and Commercial Enterprise is a Singapore-based boutique investment and consultancy firm.
GEF operates in the trading, processing, manufacturing and marketing of edible oils and specialty fats. The company is also expanding its presence in the spices and convenience foods segments.
Its portfolio of consumer brands includes Freedom, Be-Rite and First Klass. The company is among the leading regional branded edible oil players in India, with a strong presence across Southern India and select states in Eastern India.
GEF is also the largest seller of sunflower oil in India’s branded edible oil market by revenue, commanding an 18 per cent market share in FY26. Its distribution network includes over 1,600 distributors, around 3 lakh retail outlets and more than 60 warehouses and stock points across key markets.
According to a TKC report, the company’s branded revenue registered a CAGR of 20.5 per cent between FY20 and FY25, significantly higher than the 10.1 per cent CAGR recorded by the overall branded edible oil market during the same period.
On the financial front, GEF’s revenue from operations rose to ₹12,650 crore in FY26 from ₹10,755.95 crore in FY25.
